Wit Capital e-mail today. Thank you for your interest in the CMGI Directed Share Program for the Engage Technologies, Inc. Initial Public Offering (“IPO”). We want to take this opportunity to give you a quick update about the program and to thank you for your patience with this pilot program. As we indicated in our email to you on Friday, July 2, 1999, the cut-off for accepting registrations and account applications online was Friday, July 2, 1999 at 5:00 pm EDT. Those of you who have registered at the website affinity.witcapital.com but had difficulty in opening an online account with Wit Capital will still be able to participate in the program and Wit Capital account representatives will be available to provide assistance should you need it. Please note that we have added significant staff specifically to handle requests for this program. If you have questions please e-mail engage@witcapital.com Many of you successfully opened your accounts online and signed and mailed your accompanying documentation and checks and your accounts are currently being processed by Wit Capital. We noted in our original FAQs that we expected applications to be processed and funds to be posted within three business days of their receipt. However, please note that due to the volume of accounts being opened in conjunction with this program and the holiday weekend, you may find a slight delay in the account information being posted. Unless you are contacted by Wit Capital, you need not take any further action at this time. Please note that you will not be able to view your initial account deposit until approximately 48 hours after it has been processed. We will send you an email once we have processed your deposit. Do not be concerned if you cannot view the deposit online as this will not prevent you from placing a conditional offer. We expect to deliver the preliminary prospectus via e-mail with a hyperlink and to begin accepting conditional offers on the evening of July 8, 1999. Please note that we expect to continue accepting conditional offers, on equal standing, until July 16, 1999. Therefore, if your account is in the process of being finalized, you still have over a week to place a conditional offer. The deal is anticipated to be declared effective and to be priced the week of July 19, 1999. Some of you will hear from Wit Capital specifically as it relates to the status of your account application. In advance of these emails, two recurring items are worth addressing. The issue and the respective required action are noted below. Problem/Item: Incomplete or Missing Joint Account Agreement Required Action: You are still eligible to participate in the Engage Directed Share program, but please follow the directions in the related email you will be receiving from Wit Capital. Problem/Item: Indicated “No” for interest for speculative investments Required Action: As investments in IPOs are deemed to be speculative in nature, you must indicate that your investment objectives include speculation. If you have checked “no”, you will receive an email asking if this was your intent. Please respond accordingly. Before the week of July 19th you may receive e-mail notices from Wit Capital regarding other IPOs. Please note that ONLY the Engage Technologies, Inc. IPO is associated with the CMGI Directed Share Program. If you wish to participate in these other IPOs you may use the account that you have established for the CMGI, Inc. Directed Share Program. Should you participate in these other IPOs you will be subject to the same rules and procedures as other Wit Capital customers, which may be found at Wit Capital's homepage at witcapital.com . Please note that this account will need to be fully processed and funded to participate in all IPOs. The number of shares that may be allocated to you for any IPO will depend on the number of shares Wit Capital receives from the lead manager and the total demand for shares from Wit Capital accounts that have placed conditional offers.
