Alias, a vote to increase the number of shares authorized does not dilute anything. It depends entirely on what the company does with them. For example, if the shares are used to support an eventual split there is no affect. If the shares are used to support an acquisition it depends on the terms of the deal. If the shares are used to support employee stock options there is inevitable dilution. IMO, a vote against increasing authorized shares will have a negative impact on the company's flexibility.
