So what? Retained earnings is a meaningless number in most cases. Would you rather ATI amortized the goodwill on the Chromatic purchase over 20 years? That way your precious retained earnings would be higher. However, you should note that the composition of the company didn't change at all. So you are saying that you are willing to pay more for a company based on its accounting policy. Take a look at a course in Accounting Theory, that's not the way the world should work. Its people like you that make stock markets irrational.
