**SHAREHOLDER MEETING REPORT***

I attended the meeting and stayed there till about 11PM with further conversations. There was quite a lot of information given.

I did get the impression the company can be taken from the room next to the morgue and upgraded. This still has to be contingent upon successful completion of the funding arrangements being worked on.

Nettaxi is ready for release and should be up by Monday.
The 2m members will be given an electronic 3 unit card. They then can purchase CDs and reload after.

PhotoCard wanted active about Sept 1. Nettaxi PhotoCard coming soon.
The response to LL is better than expected to date.

TSIG.com is about done.

Palace.net to be up quickly. RG thinks this will grow into something big. Ask about it.

G/H is on the back burner for now. They are still with us. TSIG is waiting for cash flow to ignite the relationship. I agree.

Their thoughts are $1.5 is needed to get to positive cash flow. I feel there must be some revenues to help as that falls short if my feel for needed money. RG feels there will be substantial revenues in Sept but I give it Oct-Nov.

Distributorship signups are anticipated to increase as the look period ends for those interested. There was a prior indication we would get a release when the signups reached a certain level.

The total of all funds to convert was indicated to be down to about $1m. That makes the dilution look not as bad. I want to further check this to clarify again but I did several times last night.

The bad guy in the PP that has been doing most of the damage has about $275-300,000 left to divest. He was the largest investor. If this is true then the heavy selling might be about over.

Have an interest from a group in an equity financing arrangement. This sounds good if it closes. I'll be watching for amounts and terms. They are also looking at a couple of other interested parties.

Signature is still there and the relationship seems to be strong. If the first bank drops out they may bring one of the followup banks into the prime position. The deal is not dead. It will take more time so wait until it happens. Shareholders must leave the Signature management alone. There is still other stuff going on in this also. One sounds real neat and looks good and could be ready in a couple of months.

Starting an outbound marketing effort. Of course small now. Initially sounds like for LL. I've been wanting this for a very long time.

They now have the contact list for the approx 7,000 league presidents in the Babe Ruth League and can hopefully implement the Jan drive in a proper manner.

The AAD is closely aligned with United Cerebral Palsey.

RG thinks TEMPO will be a big contributor next year or before. Something small may come soon if I heard right. I also think he said every CD they sell would have a complimentary ECD issued with it. Ask about this for clarification.

The LL deal generates 4.25/card for TSIG if Henry remembered correctly. I think there was an after renegotiation bettering our return.

DVDs not considered important right now due to the small market. It is on the bottom of the list for now.

The other links, Amplified and the other one, are anticipated to be added by Sept first.

The point was made that it has been a short time since the site came up and a lot of changes internally has happened since then. They feel the execution phase they are entering will show substantial results in 2-3 months and look for profitability with the input of LL. If everything goes as planned we could see this Oct-Nov. The first to early part of the year they could be debt free.

Also keep in mind the other deals that should ramp at about the same time or over the following few months. They now know the importance of implementation efforts on their part and want to do a much better job(I'll bet this gets a few comments)

Do your own DD. This is just a report with a few side comments and not a legal statement taken from what I personally understood. Don't hold them to absolute dates as things are always subject to change.
