Under the conversion terms of the
Debentures, the maximum number of ordinary
shares which may be issued on conversion is
limited to 23,900,000, representing approximately
4.6 per cent of the current issued share capital of

titled "Maximum Dilution Provisions" set out below.


That example is a FIXED CONVERTABLE Debenture. It outlines the maximum damage or dilution that the debentures can do to that stock. That is fair.

A floorless Debenture is different. There is no fixed limit. That is the problem.

Just think, what The investor who put up the money (Kernaghan most liikely) will be able to do if they get CLVE down into single Digits.

How many shares will they get if they convert at Say 3 cents.

$4 million divided by 3 cents = a very dilluted stock.

If this was a good deal for CLVE shareholders, the debentures would have a fixed limit

i.e. shares can be converted at $1

or shares can be converted at .50 cents.

As it stands they have 5 years to convert at the average of any 5 trading days they choose.

David, I beg you, do not get blinded by "plans" review the facts. I have read the few last news release and this CLVE has all the signs of a disaster in the making. Never do they quote actual revenue numbers, for instance in the May 27 release they are talking about mid six figure, why not a number? Even in the last release, they do not say how big a debenture GEM has provided. Do you know how much is it? Is it enough to launch any of these dreams?

Take the May 11th release, they are suddenly in kidsstuff with that Canadian outfit, then on May 27 they tell you of going into tradecenters ("financial" site with of course millions of hits, monthly), and then into e-commerce (do you have an inkling what it cost to put up a solid e-commerce web site?) and then into on line gaming. So now, without any money in the till they are going to become a "major element" with on line gamimg, right?, Then comes the doosy, suddenly, they are so successful in the I-net businesses that they feel they need to "diversify", the greener pasture is in mobile medical imaging. Do yourself a favor and look at the working capital required to be in mobile medical imaging, it is a money gobbling operation for years before it becomes effective, it requires massive capital, large critical mass, and computer savvy to do the "simplex problem" of the "traveling salesman". This company shares are going into the basement, I do not even know how many shares are outstanding, but the lack of focus, the floorless and the acquisition of a business in which they know nothing, and a failing business at that. Any business that has 17 months of accounts receivable should be shot in the head as a mercy step.

David, this is a real bad one, I would not be surprised if it goes to pennies. And be careful, for GEM to execute their plan, they need rallies into which they can short, so expect some more hype in news releases so as to to get on board a bunch of newbies and separate them from their hard earned money. I will not belabor this issue too long. Get out if you still have 50% of your money because the next station will be 10% of your money and the one after that will have a good chance of showing 1% only. I hate seeing good people leaving on the table 99% of their savings to the floorless bandits.
