FNTN..there day is near...Management Letter.

Financial Intranet
July 8, 1999
To the Shareholders of Financial Intranet,
First and foremost on most of our shareholder's minds is the question of FNTN's reporting status. We previously stated that we expected our SB2 Registration with the SEC would become effective, and thereby hoped to become fully reporting, by mid-July. We have in fact been through a few rounds of comments and amendments to our statement since we first filed it on February 26, 1999. We feel that it is very close to substantial completion.

As we mentioned in our last letter, we have been actively looking at acquisition targets. Should these discussions move into a more formal stage, it would be necessary for us to amend the SB2 Registration to reflect the changes in FNTN's (or it's offering's) status and to commence the comments/amendments process anew. In light of the events of the past month, we felt that it was in the Company's best interests to delay our response, and have done so.

Although the delay prolongs the quiet period and its constraints, we feel strongly that it will simply save us time and resources, and will be extremely beneficial overall.

In the meantime, we are continuing to work on the growth of FNTN. We recently filed tariffs to become certified as a local carrier in a few strategic states in the Northeast and Midwest, thus expanding our sales territory. We've just returned from a fruitful sales trip to the West Coast. We're nearing completion on new, updated sales and marketing materials, which will be in place to take advantage of our advertising campaign.

Please remember that this management letter contains forward-looking statements, which include our current beliefs, intents and expectations. Prospective investors are cautioned that any such forward-looking statements are not guarantees of future performance and involve risks and uncertainties, and that actual results may differ materially from those projected in the forward-looking statements as a result of various factors. This statement is not an offer to sell securities of the Company, which offering can only be made by a prospectus

As always, please feel free to contact us with questions or comments. We look forward to the final filing of our Registration, which we feel will reflect the direction of the Company in the years to come. In closing, we'd like to thank you for your support and your vision.
