Staruni Corporation Acquires Stake in ISP

BEVERLY HILLS, Calif.--(BUSINESS WIRE)--July 13, 1999--Staruni Corporation (OTC BB: SRUN - news) announced today that it and Unitransact Business Solutions Inc. (OTC BB: UTNS - news) will acquire a significant interest in each other's companies, as the first step in a strategic alliance to bring their discounted Internet services and e-commerce solutions to all areas of the Western States.

Los Angeles based Staruni Corporation provides Internet services and e-commerce solutions to retail and business customers in Southern California. Unitransact provides ISP services in the Pacific Northwest. The companies have agreed to combine resources in order to extend combined geographic coverage to the entire West Coast.

Staruni Corporation presently competes in Southern California from Santa Barbara to the Mexican border and East to Palm Springs, where it is able to provide similar services to industry giants America On Line (NYSE: AOL - news; approx. $27) and Earthlink.net (NASDAQ: ELNK - news; approx. $67) at a price ($10.95 per month) that is 45 to 50 percent less expensive. Staruni provides unlimited Internet access through fast and reliable connections, and does not require its customers to enter long term contracts.

Since entering the ISP market in late 1998, Staruni has signed 2500 subscribers. Presently, the company is adding over 600 subscribers a month, in an area whose population of 22 million is estimated to have over 4 million Internet users. Clearly, given its significant price advantage, Staruni enjoys excellent opportunities for growth. As Staruni expands its coverage North to San Francisco, another 15 million people will be added to the Staruni target area. Staruni will continue to strategically seek alliances with other small ISP's, like the Seattle-based Unitransact, whose services and geographic coverage
complement its own.

Publicly traded companies attach a long term value to each ISP subscriber as high as $2,400. Private ISPs are currently being acquired at a cost of approximately $300 per Internet subscriber.

The Internet services market is growing significantly. Staruni is able to offer excellent Internet service at a steep discount, by efficiently using technology and negotiating attractive rates with telecom vendors. Staruni estimates its costs to be under three dollars per customer. Staruni will be seeking listing on the NASDAQ. With additional financing, Staruni will continue to extend its coverage and grow the subscriber base by signing new clients, as well as by strategic mergers with, and acquisitions of, smaller ISPs.
