I could be wrong, but I'm guessing that the CSFB is saying SLB shareholders will be worse off because they are receiving RIG-Sedco shares (at the agreed-upon price). Perhaps the CSFB analyst would say that the existing RIG shareholders could gain from the deal.

"CNBS" is just a not-so-subtle swipe at the never ending stream of "BS" from CNBC.
