La Pizza Loca Ends Bid to Buy Chicago Pizza; Sells Stake

Washington, July 15 (Bloomberg) -- La Pizza Loca Inc. said
it ended its effort to acquire control of Chicago Pizza & Brewery
Inc. and agreed to sell its stake in the operator of pizza
restaurants to ASSI Inc. for $2.25 per share.
Buena Park, California-based La Pizza Loca last year offered
to buy Chicago Pizza for $2 a share in cash and said as recently
as January that it still was interested in a transaction. La
Pizza Loca Chief Executive Alex Meruelo and his company disclosed
today that they would abandon that plan.
''Meruelo and La Pizza Loca have discontinued their efforts
to acquire control of the company and have agreed to sell all of
their 866,000 shares in the company to ASSI,'' according to a
Schedule 13D filed with the Securities and Exchange Commission.
Chicago Pizza, based in Mission Viejo, California, operates
27 pizza restaurants under names including ''BJ's Pizza, Grill &
Brewery.'' The restaurants are located in southern California and
other western states.
Shares in Chicago Pizza fell 1/16 to 1 13/16. In recent
months, company shares traded as high as 2 5/16 on May 21.
