CYOE filed an S-3/a to amend the S-3 prospectus it filed in December.

The biggest selling shareholder is still JNC Opportunity Fund, which has convertible preferred. Fantetti, Fiedler, and Tony Squeglia are still listed among the sellers.

But there are many new small selling shareholders in the new filing.

Comdisco is no longer listed as a selling shareholder.

Total number of shares being registered is up from 5.4 million before to 6.7 million now.

Further differences in the new prospectus:

The "Plan of Distribution" section of the Decemer S-3 said that the sellers could sell be short sales. This caused a lot of fuss at the time, because Fiedler and other insiders were among the listed sellers.

The "plan of distribution" for the new S-3/a now omits the line regarding short sales.

I guess they must have had enough embarassment already.

The discussion of Systeam is identical in the two prospectuses. Its as if nothing changed between December 1998 and now. However, Systeam is now registering fewer shares.
