but is there any reason not to take an additional stake in the new stock? Kind of a Double-dip if you know what I mean?

Hopefully existing shareholders would get a crack at a possible IPO. If not, you could buy them on the open market but probably at a much greater cost. In any case chances are you would eventually be given the stock as MSFT divested it. Another thing a possible spin-off would do is lower the MSFT stock price and take pressure off to do another split.
