Communications Research, Inc. Awarded NJ State Contract for Consulting Services

SOUTH HACKENSACK, N.J., July 19 /PRNewswire/ -- Communications Research, Inc. announced toddy that on June 25, 1999 CRI was awarded a New Jersey State Contract for Telecommunications Consulting and Technical Services with a per project cap of $500,000.00. As of this date, Communications Research, Inc. has been awarded five projects for engineering and technical services under this program.
Recently, Communications Research, Inc., formerly a subsidiary of Visual Telephone International VTPI , was spun off into a separate, soon to be publicly traded company when International Voice Technology merged into Visual Telephone International, forming IVoice.com, and changing their stock trading symbol to IVOC . As part of the spin-off, CRI retained the rights to the videoconferencing products it supplied to VTPI, including the Visual EZ and Visual EZ-II product lines. As a result of this action, Communications Research, Inc. shall continue to do business at their present location in South Hackensack, NJ.

Since its incorporation in 1989, Communications Research, Inc. had successfully operated as a privately held corporation until 1996 when it merged with the Public Company, Visual Telephone of New Jersey, creating the new company, Visual Telephone International. During that period, Communications Research, Inc. continued to do business as a wholly owned subsidiary of Visual Telephone International until the recent merger/spin-off. Mr. Carl Ceragno continued as President of CRI and also functioned as CEO of Visual Telophone International, a position he resigned as a result of the spin-off.

Currently, the company operates with two divisions, Systems Integration and Visual Telephone Products. CRI will continue to emphasize its Systems Integration Division which has consistently continued to grow in both revenue and project involvement. While playing a lesser role, the Visual Telephone Products Division will continue to develop, market and support the customer base of Visual Telephone product users. The Visual Products, originally known as the CRI Quick Video Communicator series, was rolled into Visual with manufacturing and continuing development under CRI.

The company is working to complete SEC filing and registration, and anticipates distrbutlon of its stock to former Visual Telephone International stockholders as of May 21, 1999, within the next 60 days, with commencement of public trading shortly thereafter.
