1st Miracle is an independent film production company focused on the development of full length features in a number of popular genres, including comedy, action and drama. MVEE, is a Canadian Company presently reporting in Canada. The Last Canadian filing (4/99) reports approximately 109 million Outstanding Shares. MANAGEMENT
MVEE was founded by Menahem Golan and Yoram Globus of Cannon Pictures fame. However Globus has left the company and Golan is now only serving as a consultant. The current MVEE Board of Directors includes CEO Tony Cataldo, Vice-Chairman Mohamed Hadid, John Salley and Jean-Claude Van Damme.
Tony Cataldo, could well be nicknamed Turn-Around Tony Cataldo. The results he obtained with his previous 3 companys are quite impressive raising the stock price from just above $1 to over $5 at SNTKY, from $2 to $16 at PMTI and from .87 to $2.81 at MTI. Since joining MVEE Cataldo has struck deals with stars Brooke Shields, Jean-Claude Van Damme and Andrew Dice Clay. Also he has secured the rights to produce ''Held for Ransom'' based on the book ''Ransom'' by Lois Duncan, author of ''I Know What You Did Last Summer'', as well as, ''They Never Came Home'' by the same author. Mohamed Hadid the Vice-Chairman of MVEE has an impressive history and is also the Entertainment Internet's New Chairman as well as Chairman of Sector Communications, Inc. Additionally, Mr. Hadid serves as Chairman of Hadid Development Company and is Managing Director of Emerald Capital Corporation. He also holds a number of senior management positions with a portfolio of companies, including Founding Co-Chairman of Global Communications Group (www.usagl.com), and Co-Founder and Director of Voice Powered Technology. Mr. Hadid formerly was the largest single owner of the Ritz Carlton Hotels, with properties in Aspen; Washington, DC; Houston and New York. He has been responsible for the development of over seven million square feet of commercial office buildings in the greater Washington, D.C. area, with the total value estimated in excess of $2.7 billion U.S. dollars. A former Director of Adams National Bank and Advisory Board Director of National Enterprise Bank, Mr. Hadid was responsible for structuring over $200,000,000 in financing for smallcap and emerging public companies. Jean-Claude Van Damme, born Jean-Claude Van Varenberg, not only brings his international star power to MVEE but also brings his extensive experience as an actor, writer, producer, and director to the company. MVEE has entered into a three-year development deal with Jean-Claude Van Damme's Long Road Films. Under the terms of the deal, First Miracle receives 50 percent of Long Road's interest in three completed Van Damme films and first right of refusal on the other projects currently in development at Long Road Films. The projects will be co-owned and co-produced by First Miracle and Long Road Films, with all worldwide revenues generated under the agreement to be shared on a 50/50 basis between the two entities. Van Damme also joined First Miracle's board of directors.
John Salley, three time NBA champion and founder of UJAMMA Entertainment provides the Company with number of potential new business opportunities including both music videos and films. Salley attended Georgia Tech and received his degree in industrial management in 1988. In addition to his duties as a commentator for NBC He has hosted a pilot for "The John Salley Show" and has made appearances on television programs including "Politically Incorrect" and in the feature films "Eddie" starring Whoopi Goldberg and "Bad Boys" starring Will Smith and Martin Lawrence. PROJECTS
Grizzly Mountain, starring Dan Haggerty, is a highly successful film for the company, it was ranked number eight on the top 10 sell through return on investment list for the week ended April 26. The film was acquired from Mega Communications.
Escape To Grizzly Mountain, also starring Dan Haggerty, was recently completed and is also expected to do well on video. It is being developed in conjunction with Tomorrow Films.
Speedway Junky starring Darryl Hannah, Jesse Bradford, Jordan Brower, Jonathan Taylor Thomas with rap singer Warren G, Tiffani-Amber Thiessen, and Patsy Kensit. This picture cost about 2 million to make.
ROLL THE DICE, a 1 1/2 hour comedy special showcasing comedian and actor Andrew Dice Clay which the company has recently secured the rights to. The special, filmed during a recent Las Vegas show, will feature behind-the-scenes footage and live stand-up routine. The project was produced by George Furla and Randall Emmett.

After Sex starring Brooke Shields has already received for the film, including $857,500 in international pre-sales.
Delta Force One: The Lost Patrol was completed in March, Staring Chuck Norris's Son Mike. The current status is unknown.
PARTNERS and DEALS
1st Miracle Group, Inc. announced that it has entered into a multi-picture foreign distribution agreement with Cutting Edge Entertainment, Inc. a leading international distributor of films. Cutting Edge was founded in 1994. During the past year, Cutting Edge was responsible for the distribution of approximately 15 titles and financed six projects, with combined sales in excess of $20 million.

Lois Duncan, author of I Know What You Did Last Summer has agreed to terms with MVEE to produce 2 of her latest books, Held for Ransom and They Never Came Home.
KENTARO son of STEVEN SEAGAL also has a contract with to make 5 movies in the future. There is rumor that they have signed his father to make an appearance in one of his films. Whether this contract is completed is unknown at this point in time.
SUMMARY
The 1st Miracle Group has the potential to become to become a major competitor in the independent film industry. 1st Miracle's mandate is to secure high profile scripts with top talent attached, the new management team is moving forward with that goal. Cataldo provides MVEE with business savy and a proven track record of successfully turning companys around. The company announced that it has already secured foreign pre-sales in excess of $4.5 million since Cataldo joined MVEE.
