OT Due Diligence: Certain Transactions. Each offering document required to be registered under the Securities Act (and those that aren't generally follow the convention for purposes of good, sound disclosure and to avoid 10b-5 issues) must disclose transactions between the company issuing the securities and management, other insiders and certain shareholders, and including their immediate family members (hence the caption "Certain Transactions with Related Parties", usually stuck in after "Principal Shareholders"). Nancy is right on in pointing this out--this section of the prospectus or offering document is always where those nasty little secrets management would most like you not to know are buried, often times in language that obscures rather than reveals the true nature of the transaction.
And the Board's Poobah is right to zero in on this to determine the caliber, ethics and discipline of management. Of course, a little nepotism doesn't always hurt, now, if the brother, in-law, cousin, or whatever has the right stuff.
