Steve, I summarized what needs to be done here: #reply-10377997 If you can convince a couple of shareholders to work with you, you should be able to start with the registered agent to get copies of any documents you need. Expect to spend up to $500 if the company needs any "corporate housekeeping" paperwork filed in its state of incorporation. Once you have elected an interim board and have basic corporate documents you can contact the SEC to see how to proceed given their investigation, etc. Bottomline: the shareholders own the paper work in the SEC's possession. They can keep copies, but the interim board should take back the originals -- worst case senario: The SEC keeps the originals and you get copies. I suggest you contact other shareholders -- as many as possible -- to see if they will be supportive of your efforts. I strongly suggest the interim board should be make up of people who are in a position where they can afford to devote a few hours a week and a modest amount of money to keep the company alive while everything else plays itself out. If what you do is in the best interest of the company and its shareholders, I doubt if anyone will object. Besides, what would they do if they did object? The only thing they could do would be to elect an alternate interim board...in other words do the very thing they object to you doing. You see, it is a win, win, win situation if you are willing to do it. hope this helps PCM
