Unidyn Corp. is a leading manufacturer of Quality Assurance Testing Equipment
for the Computer and Electronics industry. The primary assets of the company
are: 1) Northstar Vibration Control Systems, 2) Derritron Shakers and 3)
Sterling Test Systems. The company's flagship product is the Sterling device
which tests the reliability of electronic circuit boards (PCB's) with a near
100% accuracy rate. During fiscal '98 the company's Northstar division
recorded sales of $2.1 million. In 1998 the company acquired Derritron the
second largest Shaker manufacturer in the United Kingdom. Derritron has
approximately $10 million dollars in tangible and intangible assets. Founded

A $56 BILLION INDUSTRY

Every electronic component has a PCB - more commonly referred to as
motherboards. Until now, the only testing available for PCB's was vibration
and X-ray which only have a 35% reliability rate. These processes verify the
products endurance to stress, and nominally scan the surface of the product
for loose or broken connections. Additionally, neither current technologies
can be applied on the production line due to speed limitations.

A STERLING FUTURE

The flagship of UniDyns future, Sterling (patent pending) is a revolution in
the electronics and computer industry that promises to change the landscape of
quality assurance. Sterling is the first and only quality assurance device
that can, with 100% reliability, determine quantitatively the life expectancy
of a printed circuit board directly on the assembly line. The current costs
associated with faulty PCBs returned to manufacturers like IBM, Fujitsu,
Hitachi, and Texas Instruments, to name a few represent 4 to 7% of this 50
billion dollar industry. Sterling allows the electronic manufacturer to test
the PC board directly off the assembly line resulting in significant savings
to the OEM in warranty returns. Sterling will enable to manufacturers to
reduce their returns to less than 1%. In test cases conducted by IBM and AC
Delco, the system was 100% accurate in detecting workmanship defects. The
company has firm commitments from Japanese OEM's for $42 million annually with
product shipments to begin in early 2000.

GROWTH STRATEGY FOR 1999

Management is setting a rapid pace of growth for Unidyn. The Northstar
division has shown steady growth with sales of 40 units in 1995 to 180 units
in 1998 with demand expected to remain strong into the new millennium. The
launch of Unidyn's new Sterling technology in early 2000 is a giant leap
forward in the Quality Assurance testing industry. With current commitments of
$42,000,000 from Japanese OEM's annually the company projects earnings of
$0.33 in the first year. With 10% market share the company projects earnings
of $150,000,000 annually within 5 years.
