The issuance of the shares was made in reliance upon the exemption contained in Regulation S as amended, to offshore residents and in Canada pursuant to the exemptions from registration contained in section 55(2) (4) and 55 (2) (9) of the Securities Company Act (British Columbia) and/or paragraphs 128(a) or 128(h) of the Securities Rules to the Securities Act.

It's also very clear that since I bought this sizeable stake into XNET my posting on XNET has been very sparse compared to what it was earlier on.

So? It's also very clear that in all of those post since then you did not disclose your position. You have a lot of nerve bitching about me not disclosing my position in ZSUN and then not disclosing yours here. Of course there's even more difference than that since you are most certainly an insider, and some day when you go to sell your 120k shares of restricted stock it will show up on the the insider sell list for all to see.

The discount to market takes into account the risk involved when not being able to trade the stock for one year and the fact that one has to buy a large parcel and cannot suitably diversify and spread the risks.
Gee, looks like you got lied to. Some of your fellow insiders bought as few as 1500 shares.

As for insisting that you disclose your position on ZSUN, it's a fair thing to do when you want to joust verbally with others who have disclosed theirs, a show of courtesy, in other words...
If you say so. But then again why did you do it on ZSUN and many other stocks you post on, but not here? You'd think you'd want everyone to know about your big position so they would see that you really believe in the company, after all, it was going to be pubilc record, why not disclose it?

The following are excerpts from the Securities Exchange Act of 1934 which are directly relevant:

Section 20A. Liability to Contemporaneous Traders for Insider Trading

(a) Private Rights of Action Based on Contemporaneous Trading. Any person who violates
any provision of this title or the rules or regulations thereunder by purchasing or selling a security
while in possession of material, nonpublic information shall be liable in an action in any court of
competent jurisdiction to any person who, contemporaneously with the purchase or sale of
securities that is the subject of such violation, has purchased (where such violation is based on a
sale of securities) or sold (where such violation is based on a purchase of securities) securities of
the same class.

(c) Joint and Several Liability for Communicating. Any person who violates any provision of
this title or the rules or regulations thereunder by communicating material, nonpublic information
shall be jointly and severally liable under subsection (a) with, and to the same extent as, any
person or persons liable under subsection (a) to whom the communication was directed.
