Shareholders' approval isn't required for the issuance of new shares as long as there are enough shares authorized. For example, recall that recently DELL shareholders voted to increase authorized shares from 3 bln. to 7 bln. Given that the current shares outstanding are around 2.5 bln, DELL could theoretically have a secondary offering of more than 4 bln shares now without prior approval of shareholders.
