Different rules for individuals and employees. Times for preferential tax treatment are different..there are many rules, too many to try and explain here.
I would never try to second guess what a VC would do.

Savant reminded me that Woody and Bob received warrants as compensation for the e.Digital loan they guaranteed some time ago.

Therefore, the shares registered in the S-3 by Woody and Putnam would not have been the result of stock options, and since Fred Falk did not participate in the loan guarantee, he would have no shares from warrant exercise to register.

Also, the shares associated with employee stock options were previously registered in an earlier S-3 that was discussed on this thread several months ago.

Bottom line: No real significance to the S-3 as an indication of insider sentiment about the company's prospects.
