You have used incorrect "# of outstanding shares" for IDTC which is currently around 35 million. The value of NTOP holdings will be discounted because of a number of reasons - lock-up period, inability to sell 27 million shares without causing NTOP to crash, taxes, other shareholders (within lock-up period) selling their NTOP shares after 6 months, etc.

In the short-term (next few weeks), IDTC will be driven by laws of supply and demand. Lots of supply - shareholders simply selling and moving on. The demand will be from the short covering and the few dipsters (there won't be many as they are already invested in IDTC and are facing losses).

Serious arbitrage players don't step in unless the valuation moves to an extreme and they feel there is little risk. IMHO they will not step in before IDTC trades at less than 5 + 0.375* NTOP (on a share price basis). Currently there is too much risk for them (there is a good chance that IDTC may go down and NTOP up)
