Net2Phone Inc. plans to offer more IPO shares

WASHINGTON, July 19 (Reuters) - Net2Phone Inc., the Internet telephone company, said
Monday it will offer 5.1 million common shares in an initial public offering, up from the 4.8 million
shares it previously planned.

The anticipated price-per-share range will remain the same at $10-12, Net2Phone, based in
Hackensack, N.J., said in a Securities and Exchange Commission filing announcing the higher
number of shares to be offered.

The company also disclosed for the first time in an SEC filing that the underwriters of the IPO plan to reserve up to 750,000 shares
for America Online Inc. (NYSE:AOL - news), the big Internet services provider.

Net2Phone still plans to reserve up to 300,000 shares for National Broadcasting Co. Inc., the network television unit of General
Electric Co. (NYSE:GE - news), and up to 200,000 shares for GE's Capital Equity Investments Inc.

The underwriters are led by Hambrecht & Quist.

Net2Phone's IPO is tentatively scheduled to begin Nasdaq trading on July 20 under the symbol (Nasdaq:NTOP - news).

When the IPO is complete, IDT Corp. (Nasdaq:IDTC - news), the telecommunications company, will own 57.7 percent of
Net2Phone's outstanding capital stock.

IDT owns class A stock that has twice the voting power of Net2Phone's common stock. As a result, IDT will control 65 percent of
Net2Phone's vote, the SEC filing said.
