If you have a couple million shares of stock, you do not really need to sell your stocks in the open market to get the money. There are many ways to cash out the stock. You may apply a loan against your holding from a bank, or exchange the ownership of your holdings with an institution in block transactions for other types of financial means. Anyway, I am not an expert on this.

gs: Actually, I think that the best way to do it would be to make a gift of the stock to the beneficiary. He would get the deduction at the upgraded basis and the charitable org would be home free. JFD
