Clarifies Previous Release Business Editors GOLDEN, Colo.--(BUSINESS WIRE)--Feb. 19, 1998--Travis Industries Inc. (OTC: TVSI) issues this release to clarify certain matters and respond to numerous inquiries arising from its previous release of Feb. 6, 1998. Management reiterates that the proposed merger with Planet Sports, Inc. will greatly enhance and accelerate the efforts of the company to complete acquisitions of new, emerging and mature companies, focused on the outdoor sports equipment and sports apparel industry. The merger will allow the company to capitalize on the professional management and transactional skills of, and business opportunities developed by, Mr. Raabe as CEO of Planet Sports, Inc. over the past two years in this industry. Mr. Raabe stated that Travis' management has successfully accomplished a turnaround and the company is now a viable vehicle for acquisitions. The vision of Travis' current management and Planet Sports is to focus on acquiring companies with major positions in their respective markets and new concepts and technologies which can immediately become competitive in the high-mainstream sector of the outdoor market. Planet has identified Next Level Sportsystems, Inc. as its first strategic acquisition. Preliminary negotiations and due diligence are in progress with a view to a definitive agreement in the very near future. Thomas P. Raabe stated that acquiring Next Level will provide a strong foundation for further acquisitions, of which several are in preliminary discussions at this time. Next Level, founded in 1995, is executing its first product launch for the Fall, 1998 season and is marketing its line of sports and urban apparel to major retail department stores, "big-box" and regional sporting goods retailers, and over the Internet. Next Level has orders in hand for the 1998 Fall line. The product line has been designed by a major New York fashion designer and will be sourced and marketed by seasoned outdoor apparel professionals. Its product line is fully developed and is ready to go to production. Final negotiations are in progress to become designated as a confirmed vendor for major retail department stores. First revenues are forecasted to be generated within 30 to 60 days from Internet sales, followed by sales to retail stores for Fall deliveries from June through August. Mr. Raabe stated that Next Level has an exciting and unique marketing approach of promoting its products through professional athletes and entertainers. Next Level will be assisted by a nationally known sports marketing firm to develop sponsorship and endorsement programs and to recruit professional athletes and celebrities to promote the products. Former All-Pro and future Hall of Fame professional athletes are currently involved as investors, as board members, in day-to-day operations, and in public relations in promoting the company's products and soliciting product endorsements and representation from other athletes. Next Level has withheld the names of these individuals for contractual and legal reasons relating to sports agency law, but expects to have authority to reveal the athlete's names within 15 to 30 days.
