DOW & UK- The Dow Chemical Company and Union Carbide Corporation announced today that they have approved a definitive merger agreement in a stock for stock transaction valued at $66.96 per Union Carbide share or $11.6 billion including the assumption of $2.3 billion of net debt. Under the agreement, Union Carbide shareholders will receive 0.537 shares of Dow for each share of Union Carbide they own. The merger still requires regulatory and shareholder approval but both companies anticipate the transaction to be completed in the first quarter 2000. b. T- Sega Enterprises said it was in talks with AT&T to create a global game room. c. ALGX- Allegiance Telecom shares could get a boost today on the heals that it has just signed an agreement with Vulcan Ventures, the investment organization of Paul Allen. Vulcan Ventures will purchase 1.5 million shares of Allegiance common stock. The agreement also grants Vulcan an option to purchase up to an additional 5 million shares, at $56 per share, on or before November 1, 1999, from existing private equity investors and certain other investors. d. DRGI- Diversified Resources Group, Inc. announced today that Westminster Homes, a division of Washington Homes (WHI) has signed a Letter of Commitment to purchase 300 single family and multi family building lots in DRGI's Falls River Development in North Raleigh, North Carolina.The purchase, valued in excess of $15,000,000, will allow Westminster Homes to be a key builder within the Falls River project.
