Bell Atlantic, Vodafone AirTouch Agree to Split PrimeCo Venture

Bell Atlantic Corp. and Vodafone AirTouch Plc agreed to split their PrimeCo Personal Communications LP cellular-phone joint venture, ending a six- month feud between the companies.

The agreement would give Bell Atlantic PrimeCo's networks in New Orleans; Richmond, Virginia; and Miami, Jacksonville and Tampa, Florida. Vodafone AirTouch gets Chicago, Milwaukee, Dallas, San Antonio and Houston.

PrimeCo, which was formed in 1994, provides cellular phone services to 1.3 million U.S. customers in markets with a combined population of about 61.3 million. Bell Atlantic decided in April to break up the venture, three months after it lost a bidding war to Britain's Vodafone Group Plc to buy AirTouch Communications Inc., Bell Atlantic's original partner in PrimeCo.

Vodafone completed its $74.4 billion purchase of AirTouch in June. New York-based Bell Atlantic, the largest U.S. local phone company is also the No. 3 cellular provider. Vodafone AirTouch, of Newbury, England, is No. 2 in cellular behind AT&T Corp.

There were no financial terms of the agreement, which divides PrimeCo markets roughly equally.

Separately, the companies also agreed to settle an earlier non-compete agreement between Bell Atlantic, which provides services on the East Coast, and AirTouch, which covers the West. Vodafone AirTouch had claimed Bell Atlantic's planned $90.4 billion purchase of local phone company GTE Corp. violated the agreement.

Terms of the settlement weren't disclosed.

Bell Atlantic shares fell 1 to 64, while Vodafone American depositary receipts fell 15/16 to 208 15/16.
