Bob, thanks for all you do. It sounds like several things are on the brink. Response from 10,000 schools sounds good to me considering that here in my county, school doesn't even start until Monday. There are probably 20-30 organizations within a school that need to raise money. Obviously the big ones are the PTA, the band, and the athletic groups, as well as school-wide fund-raising. About half of the school bands on the East Coast go to Florida, the other half go to New York. (But don't count on them to cross the county line to participate in your Christmas parade.) This requires big money. One thing we should remember: there is tremendous need in the schools to raise funds. Can we assume that each young "salesman" will be offering a MusicCard and a PhotoCard?. . . . This is pure guessing, but the deal on hold awaiting the lawyer's call and involving Internet names, is that the connection to Northern Lights? Do search engines offer premiums? . . .Bob, no mention of FBLA. I have high hopes for this group. It seems to me that the entire process of selling, accounting for sales, etc. would be a learning process for business students. I would predict this group would be a big producer in relation to its size. 4H is obviously a much bigger organization. There is much to look forward to this fall. Regards, Suzanne

The discussions went pretty much along the lines posted in the report. I spent about 45
minutes each with Henry and Gordon. Rob wants to get with me early next week to go into
details a couple of items will be at/or disclosed. A couple of other items will be further
detailed. We will also have the opportunity to go into a few other areas. I thought he was
gratious to the shareholders to break away and give me 45 minutes while two other CEOs
were in the office.

I asked Henry about Nettaxi. He has had the PR written for about three weeks. It is Nettaxi
holding up the show. Get used to it. The client controls the deal. As we continue to expand
our clientel, this will happen again.

I did ask about the CD fulfillment plan. Henry said the company was analyzing the current
situation against other outlets or self fulfilling in total or partial.

As for dilution, I have done all I can to show the potential dilution limits from the funding. We
know there is more due to the conversions left and the new PP necessities. We just have to
wait and see as the information comes available. With the PR showing the terms of the new
equity funding, the end result might be bracketed. I think we are down to watching the TA and
then asking what is not included in the issued. My primary concern was trying to identify the
possible attack level of the shark.

There are about 40 employees right now. That is coming back up.

The activity seemed to be picking up in the teleservices dept. Amy said for some reason
Wed is traditionally a slow day so fewer people on duty. I saw about 10. Up from about 8 the
day of the shareholder meeting. Observation - not fact.

Concerning the IT dept. I know they want to be caught up by Sept. The funding will allow the
hiring of the other programer they want. There is one on the staff that must be very good as
Hwang tried to hire him away after he left.
As I have said before the PhotoCard is desired up by Sept. It is not a deep project as it is
two tiered so making the Lifetime school push should be no problem.

I didn't get into the other topics due to time and yesterday's interests of the CEO. Lets see
about next week.

I see the next 4-8 weeks as the implementation preparation stage for the company. Once the
execution points have been attained we will see how they respond to the execution activity
while continuing the implementation staging of the next projects. This will be a new
experience for them and maintaining their efforts toward the coming projects will be crutial.

That's as good as I can do for now. This contains opinions and observations.
