Sunny--I think this USA stuff is required be the US Securities Laws. Basically, these guys are making an offer and acceptance outside of the registration period--I think they are relying on Rule 144 or something like that. In a former life I was a corporate attorney. It's not like I've researched it lately, it's just that CMGI, Witcom and Schwab all ask the same questions to get in on an IPO so it has to be a SEC requirement.
