True; while SEC registration fees are insignificant, lawyers fees (for the issuer and the underwriter) preparing the prospectus to comply with Section 10, Reg. S-K and SEC Staff comments, resulting in one or more amendments (less of an issue for an S-3 or F-3 company--will usually get no review), and independent accountants to comply with Reg. S-X and timeliness of financial statements, can run into real dough, for guys like JG. <g>
