Form S-3/A is an amended registration statement adding details to the previous S-3 that describes the terms of the convertible debentures. This is much like a shelf registration of class A stock in that it has to be updated periodically. Even though R.G.'s name is on the top it does not mean he is selling shares. The potential sellers of shares are the holders of the conv. debs. listed in the document. For recent insider sales see www.insidertrader.com.

That page is ambiguous (i.e., no little box to type in a symbol or name) so just click on the highlighted sentence that asks if you want to search edgar. The next page also has no little box, so click the similar sentence. This gives you a page with a little box but ambiguous instructions. Ignore all the "What kind of form do you want?" stuff and type Westell or WSTL in the little box. You'll get a listing of Westell's recent filings as well as a few filings by other companies that mention WSTL in their own filings. The SEC's Edgar database allows you to download or print in asciii or in html (not to mention to disk). The other day I mentioned a "preliminary Schedule 14A" filing. That's a preliminary proxy statement (as though we all didn't know that hahahaha)which notes that WSTL's next annual meeting supposedly will be on September 15th. One of the issues supposedly will be shareholder approval of the shelf registration of common shares sufficient to cover the convertible preferred and warrants issued last April 1999. As somebody else just posted here (I fergit who), the proposed registration is set out in the Form S-3 (and its amendment) and, when effective, would allow the convertible holders to begin converting under the terms of the debenture with a "due date" of April 2004, but the debentures' conversion price (initially $6.372) gets adjusted in April 2000 and April 2001 based on market price. In other words, we'll see all this again soon, but for a preview, check out the draft filings.
