Not, to be arguementative, since I agree with the bulk of your post, BUT these deathspiral preferreds are definitely unwitting managements being taken by sharpies. Lets not forget that point. These guys are very sophisticated derivative players that are making large risk free returns with huge call options attached for huge upside.

Luckily companies are catching on. IMO managements are so embarassed once they figure out what they did, they just clam up and wait for it to pass... unfortunately the shareholders hold the bag. These companies would probably all be better off being put on the auction block instead of doing a "death spiral". That's not much fun for management as you can imagine.
