Pacific Softworks has announced that their registration of 950,000 units each
consisting of one share of common stock and one warrant exerciseable into one
share of common stock at $7.50 per share became effective July 29, 1999. Each
unit was priced at $5.25. On August 9, 1999 Pacific Softworks common stock
closed at $6.50 per share and the warrants, which trade seperately, closed at
$1.75.

IATR owns 100,000 shares of common stock and warrants to purchase an
additional 100,000 shares at $6 per share. IATR has "piggyback" registration
rights on all of its stock and warrants which IATR may exercise at the time of
Pacific Softworks next registration statement.
