Still can't find the A of C, but in the 10K I find this:
Each director is elected by holders of a majority of the Common Stock to
serve for a term of one year ending on the next following annual meeting of
stockholders and until his successor is elected and qualified.

In the same 10K, it says that Dorian Reed holds 59.9% of the stock.

Reed *is* the majority, so it would seem he can single-handedly retain or oust
directors as he sees fit.
Could this be why they voted to put Reed back in charge?
Doesn't quite fit my dictionary's definition of "independent."
