How 'third' is this party? Is s/he an officer of the company? Board member? Major shareholder? founding shareholder? or what? .... and are these free-trading shares? ... will you post your sales in realtime?

As you may have guessed, there are some of us present with serious reservations about this sort of thing. Especially in combination with non-reporting status.

Good move to talk to us, though ... the more frank and open the better .. cheers

The day the fluff piece in question came out, I called subway.com

This is more or less how the convo went :

I said "how does the S-8 revision affect you receiving these 150,000 shares for promotional services"

answer: Does not affect me at all. Zero.

Question: how and where did you get these 150,000 shares ?

Answer: a private investor gave them to us. Publicly bought free trading securities.

Question: Why would someone do that ?

Answer: Are you with a government agency ?

response: no

Question: Your not with the SEC or anything like that ?

response: hell no..

Answer: PINC compensates the private investor by issues TWICE the amount of RESTRICTED shares to the individual who gave us the 150,000 shares.

I said: I am concerned over these tout sheets...

<cut off>

Then you should not be investing in these types of securities.

I said: What type is that ?

Answer: High risk speculation...

< I cut him off>...

High risk ? You just put out a "Investment Opinion" that says over 5 dollars ....

Remember that little convo mr "I am not a tout" ?

150,000 x say .60 = $90,000 for writing a newsletter ?
Pretty good work if you can get it.

Here is a copy of the post I made to you on RB ... I'm sure the folks here are just as interested as I am. I sold, but am studying the possibility of getting back in...

TheSubway.com, or pawn as the case may be,
Thank for for your post. I do think it clarifies your role in the situation.

Since many of you think that I am just a paid tout, I would like to set the record straight. I am paid to create exposure on the company. Not to "pump" or "Hype" the stock.

What is the difference?

To clear up issues I am reading about my compensation, to date I have received 75,000 shares, and 75,000 are due within another week.

That is exactly what I was told and have seen the exchanges for myself. This adds up to over $100K at todays prices.

If anybody has a problem with that, they should not be trading this stock. Go buy some US Web or Compaq. I hear they are at good prices right now.

I've heard that on lots of threads and the poster was blasted by the FBN'ers ... been there, felt that.

I provide a service to companies who wish to increase their market cap for the purpose of acquisitions and / or other financing.

Isn't this a nice way of saying that you help companies raise the value of their stock by posting something that the casual reader would construe as an endorsement of the stock being presented. What is the difference between helping push up the price of a stock using your service and the role of the hypster in any other push to increase the price of a stock. I'm afraid that your explanation appears to be a bit of doublespeak.

If anybody has any questions about how I do this or who else I am doing this for, contact me through http://w################. LOL.

Sorry for not contacting you directly, but the spam spinner on the thread obliterated your e-mail address, and anyway, I sure I'm not asking any questions that others would not want to have answered.
