RECENT DEVELOPMENTS

In July 1999, the Company entered into a letter of intent with World Wide Collectibles, Inc., which has subsequently changed its name to World Wide Net, Inc. ("WWN"), to purchase all of the outstanding shares of CRC for common stock of WWN. The letter of intent contemplates that the Company will receive a majority of the outstanding shares of WWN common stock, and would continue to operate the combined business. To date, the parties have not entered into a definitive agreement, and there is no assurance that a definitive agreement will be executed.
