They talked about a "carve-out". They would sell perhaps a 10% portion of JPSI, for example. Since JMAR's various divisions are very inter-dependent, they can't sell off an entire division. They all work too closely together.

Regarding JSI, I learned something yesterday. JSI is now operating a semiconductor fab for the government in Sacramento. It's part of the Defense Microelectronics Dept., so JMAR can't really make an announcement since it's not THEIR fab. This gives JMAR accesss to a fab, however, so JMAR can now not only design chips, but produce them as well. JSI is doing very well. Their main revenue sources are high value custom semiconductors and technology services. They project $9 million in revenue for 1999. They have long term contracts with General Dynamics, TRW and the DOD. They are going after contracts in the telecommunications market, as that is a $270 Billion market. Semi-cond. content is approx. 18% of this. JSI has a new product which is a replacement device for logic circuits in phones. It emulates thousands of these devices since it can be programmed to match any logic device. JSI's production of this device is starting this month. It's called a Universal Logic Device.

Another new JSI device is FIFO - a type of memory device used as a data rate buffer in any data/voice/video transmission. JMAR (JSI) is focusing on high speed FIFOs, starting at 133 mhz and up. (There is only ONE competitor at this speed.) FIFOs are used in Ethernets, ISDN, ADSL, and DSL products. There is great feedback on early work on this product.

All in all, JSI looks VERY good.
