MSGI Forms New Internet Subsidiary WiredEmpire; The New Company Is Being Formed Out Of CMG Direct's Latest Incubation

NEW YORK--(BUSINESS WIRE)--August 17, 1999--Marketing Services Group, Inc. MSGI , an integrated marketing and Internet services industry leader, today announced its intention to form WiredEmpire, a new company in its Internet Group to be derived from CMG Direct's PermissionPlus (TM) technology.

CMG Direct's PermissionPlus technology and service provides companies with a fully automated Website marketing capability. It enables companies to direct their Web visitors to relevant content, automate their Internet customer acquisition function and to increase the lifetime value of its customers. PermissionPlus is an innovative suite of tools that captures detailed user information, including product preferences, interests and demographics. Through its powerful marketing research information, it enables companies to guide visitors to the content they are interested in and proactively communicate with its customers through one-on-one e-mail communications. PermissionPlus can also effectively translate Web activity into meaningful data that allows clients to proactively develop services or product extensions and enhance online capabilities based on customer interests.

CMG Direct has been incubating PermissionPlus for over a year. The new Company has 19 employees and plans to hire an additional 40. The technology is fully developed and clients have been using it for several months. The Company's clients include several leading companies such as Datek Online, the fourth largest online brokerage; Levi Strauss, one of the world's largest brand-name apparel marketers; RTC, who is utilizing the technology for Federal Express' Internet marketing automation; and Internet Commerce Services Corporation (ICOMS), the first independent outsource provider of Internet commerce transaction services, providing order management and payment processing services to more than 270 companies. Clients utilize the tools for customer acquisition, customer retention, market research, directing web visitors to relevant content and one-on-one communications. MSGI S-4 filed with SEC 8/13/99:

For those out there that haven't been informed by the Rah rahs or by MSGI - MSGI Filed a S-4 on 8/13/99 with the SEC.

The S-4 details the "merger" or buying of Grizzard. Its got a lot of grizzly details. So a warning to all before you start to read the gory details, it is not a pretty sight for MSGI shareholders.

Sorry for this repost from the Yahoo board but this could be the reason why the stock did not move much recently while the techs staged a remarkable come back rally. I always had the weired feeling that something smells here and so I went short.... Well, as I said the next earnings announcement and conference call will indeed be very interesting....
