To all: Here are my notes on the CC for those unable to listen today. Regards, REM55 Peter opened the conference and introduced Steven who gave an outline of the company's status. Steven reiterated the goal of WAVX which is to manage the customer relationships on or off the network. Security, transactions and identity, the core technologies of e-commerce, have been reduced to function on our chip rather than on a server. This creates a "Network" of computers that are connected so we can conduct business between them without a server connection. This reminds me of Jesse Livermore's superb post on RB (58036) regarding Wave enabled Secure Network (worth the read). Steven stated that in the last 9 months WAVX has expanded its business platform to go beyond the delivery of content (educational/game) to consumers to also include communications and authentication services. Content distribution services: Steven then described the 3 business areas starting with an example of Music distribution and the difficulty of securing and maintaining licenses or our right to listen to that music. Managing a relationship with the customer on a continuing basis is the key strategy that EMBASSY provides. Communications: On the agenda is the the development of the application that will allow any two users with a hardware device to securely communicate with each other or with a work group of users; he described this service as a work group level VPN, just like Cisco connects networks of companies we can connect individuals to individuals and create our own VPN, but unlike CSCO, we have the METER and can charge a fee. Authentication: EMBASSY will insure that we can measure who you are before a transaction starts on any particular Website. We protect one's privacy and can guarantee one has completed good transactions in the past. He then mentioned that a lot of their attention has been spent on developing "Consortiums" (yes plural) to implement these 3 business lines. He mentioned the huge demand to manage the customer relationship and the need to make sure they pay their bill. He also mentioned new opportunities with the acquisition of N*ABLE in the financial transaction services area particularly in Europe with the smartcard; his exact words were "Here we see the market opportunity as TREMENDOUS." As intimated in the previously mentioned post above, WAVX is building a "Network of customers" with technology that is as simple as possible. It is interesting to note that Steven said we certainly will have competitors for our services , although he is unaware of any company that competes with our platform (EMBASSY). Silicon strategy: Embassy 1 is available from OKI and we have on order about 100,000 parts (chips), basically the WinTV chip . The cost of the chip has been cut in half from just a year ago. EMBASSY 2 is being built by ATMEL as a fully functional programmable device were we can load different company's security applets on to EMBASSY. He did say we have test silicon in house today!!! The next silicon from Atmel will arrive in 4th quarter and production is on schedule for the 1st quarter 2000. Deals: N*ABLE deal went smoothly and brought us new tech that will allow us to protect pin numbers that are required in the use of debit cards in Europe. ITG/Global Wave deployment of peripheral devices is occurring. USB devices are being ordered this fall by ITG (20,000 units so far.....my notes may be off here on the numbers). He feels Europe is at least 6 months ahead of U.S.A in security/privacy issues regarding the Internet. InTelicast: Demonstration system is being built and tested now. Full demonstration in the next 4-6 weeks. Sees ability to provide 1-2 megs/second for content delivery. Sees AOL as the pioneer in this area. This may indicate some evidence of a working relationship with AOL (my opinion). He stated that this distribution of content to our PC's is "always on", meaning that e.mail will be delivered whether we are online or not. Plus our security enables only the intended receiver to get what we send. OEM"s: Helping to refine the technology of EMBASSY 2. They all wanted the programmability that EMBASSY 2 provides. Some Questions: Steven, how comfortable are you with Pacific's estimates in their report? ANS: Pretty comfortable. Projections in report are achievable. A question was asked about standardization for client side security since that is critical in obtaining quick deployment: ANS: Trying to standardize the method of loading the applets ( use of trusted client). Can't read my own notes here, sorry. Question: Relationship with Commerz bank/N*ABLE?... Steven...Not aware of relationship. Just that they are an investor with WAVX. Question: Olson from PGE asked.... What content will be available at year end? Steven.... Expect about 75-100 of the best titles, not interested in quantity just quality. Question: How close are we to meeting the objective of IBM/WAVX agreement of two years ago of becoming the standard for the industry? He said we continue to work with HWP/IBM and other major OEM's toward this goal. He mentioned the CPQ/N*ABLE deal as a step toward meeting this goal. Question: Some concerns expressed about how WAVX handles PR. Steven tried to explain that WAVX is trying to take the "high road" (my words) and not produce fluff PR. When important news is ready it will be shared.....Also Peter made it clear that WAVX is not stashing away or "stock-piling" completed agreements for a blockbuster announcement; the announcements will come when they are completed. Discussions are continuing with all major OEM's. Question: What other technology is WAVX pursuing 5-10 years down the road..... Steven reiterated our goal of making our platform programmable and that we want to put it on every PC and peripheral device that is shipped and provide a service relationship with every customer....that should happily take us the next 10 years!!! Question: How do you respond to the negative Barron's article? Steven said we didn't want to dialogue with a specific person who has no idea of what we are trying to accomplish. The interviewee , in Steven's opinion, has clearly not done the research to understand WAVX. Question: When do you see WAVX breaking even, what quarter? Ans: He turned to Mr. Olson's report and said they captured it pretty well. He made it clear that the specific sales are not as important as the per unit sales. Its the value of the customer on the Network that is paramount. Question: How is the next generation DTV Haup board coming along? How is our relationships coming with Institutional investors? Ans: He expects WAVX to be included in the 2nd version of the DTV card sometime before year end. Ans: Adams/ Harkness conference was well received and the Roadshow was helpful. Also he and Feeney are meeting with different groups to explain WAVX's story. Question: Have you considered WAVE dollars for promotional purposes? ANS: Yes, didn't want to use on Haup WINTV project because wanted a more pure indication of use. The Wave dollar promotion method will be used in the future. Question: PGE report...Is AMD/INTC working with WAVX? Wouldn't comment at this time. Didn't deny though. Question: Peter, in an earlier interview this year you said (and I paraphrase) in order for WAVX to be successful, the company needs to reach an agreement with at least (1) MAJOR OEM who agrees to deploying WAVE's chip before year end 1999. Will that goal be met? Ans: Peter.... It is difficult to predict, but if not accomplished exactly by year end , he was very confident we will be shipping to major OEM's beginning the first quarter of 2000. He seemed confident of deployment next year......(MY words) It is my opinion that the OEM's wanted the programmability that EMBASSY (2) provides, causing a delay in the original deployment schedule of EMBASSY (1). Question: Any projection on the number of chips to be deployed in the year 2000? Steven directed attention to the PGE report for projections. Question: Missed it...but response was, "We are building a network like a cable company." Well that is all my notes. Good night. Regards, REM55
