As a long time shareholder of IDTI, I know that IDTI normally schedules its annual meeting in late August, files it proxy statement with SEC (Form DEF 14A) in early July. However, I have not seen any proxy statement (either in PRE or DEF form) filing with SEC for the current year. Now it appears that the annual meeting will at least have to delay to September. I know it would not be a good idea to schedule the annual meeting in late September when IDTI goes into quiet period just as the end of quarter approaches.

I wonder what causes the delay in proxy filing and annual meeting. Is the Board considering something really important (such as an acquisition offer) ? Or is it because some sorts of disagreement among the board members ?
