Archibald, Not quite, as the stock (common) has been issued.
They may have been issued with a discount compared to streetprice at the given time.
Apart from that the company "Articles of Incorporation", prevent them from entering such convertible deals.
Only warning there - That can be changed without prior notice, by written consent of the voting power needed to do it.
Look all down in the filing for Art.O.Incorp and Company Bylaws.
