Archibald, Not quite, as the stock (common) has been issued. They may have been issued with a discount compared to streetprice at the given time. Apart from that the company "Articles of Incorporation", prevent them from entering such convertible deals. Only warning there - That can be changed without prior notice, by written consent of the voting power needed to do it. Look all down in the filing for Art.O.Incorp and Company Bylaws. Kr Jens
