Sorry, i don't know "what the real concerns are." I haven't finished reading the book yet, but from what i have read the proposed merger is a good thing.

I am not "concerned."

Frank,

The "investor concerns" that SSB cites are probably:

1. Perceived bandwidth glut.
2. FRO not making last quarter's estimates, and
3. GBLX perceived as paying too much for FRO given that concern.
4. Further dilution of GBLX with it trading below the collar.
5. Upcoming insider sales.

I believe that should GBLX have to renegotiate the deal due to trading below the collar, they could bargain for no further dilution based on #2 above. FRO's earnings disappointment, while probably of little concern to a visionary management, is a sticking point with the street. As such, I think both companies should see a "no more dilution" policy as being in the best interests of both companies. Otherwise, FRO will be perceived as getting the best of GBLX and that is not a perception the street should have of the combined company.
