This has much farther implications than some realize. By controlling 39% of the company, Phil has effective control as he only has to get another 11%+ to have a voting majority, something I imagine he can easily do. This makes a takeover much harder in the sense that a proxy battle has no value. So any takeover will be to Phil's terms. And from what I have seen, he drives a hard bargin. The guy is one money making dude.

With the dilution on the USW deal, BLS doesn't have 10% anymore. Correct ?
