American HealthCare Providers Announces a Merger, New Venture and Acquisition to Continue Plans for Commercial Expansion


NEW YORK--(BUSINESS WIRE)--Aug. 27, 1999--American HealthCare Providers (OTC BB: AHEAE - news) is proud to announce to all shareholders and associates that we are completing a new Business Acquisition, one pivotal merger, and a new start-up venture. These exciting developments have been implemented to further our goal for commercial expansion, and dramatically improve our position within the industry.

The merger will be J. J. E. D. Home Care, Inc. They are a Joint Commission Accredited (with commendation) Neonatal and Pediatric Home Care agency. They are doing approximately $4 to 5 Million per annum in business, and has license jurisdiction for Westchester, Nassau, and Suffolk counties and all 5 boroughs of New York City. They have offices in Queens to cover New York City and in Seaford Long Island to cover Westchester, Nassau, and Suffolk areas. Their receivable turn in 120 days.

The acquisition will be Apple Ambulette, which is currently one of our vendors. Apple Ambulette does $1.3 million in straight Medicaid billing per annum, and is growing. Their receivable turn every 30-45 days. They are self-funding and upon merging with us, will have $600,00.00 to the bottom line.

American HealthCare Providers, Inc. has recently signed off on the licenses to open a multi-county (Fort Lauderdale and Miami) Home Care offices. These are start up operation. The corporation, called Unity Home Care Corp., will begin start-up in the upcoming weeks, and is expected to grow rapidly and provide new connections, as well as firming current ones. Situated in Florida, this is a booming business for eldercare, with strategic locations planned out meticulously.

The conglomerate of these business decisions will fortify our stronghold on the industry, while allowing growth and expansion. Apple Ambulette and J. J. E. D. have combined sales equal to the existing sales in no-fault Home Care.

Total assets, as of 12/31/98, are $4,228,622 with a net income of $1,014.919. These figures are expected to improve at a rate of 15% per month as industry growth allows. We are moving forth at a rapid and expected these business decisions to further accommodate our expansion. AHEAE is filing Form 10 with the NASD, and will be fully reporting shortly, with new to follow.
