DIRECTOR RESIGNS

Denver, CO - Michael Watford, Chairman and CEO of Ultra Petroleum
Corp., today announced that he had accepted the resignation of Mark
Jarvis from the board of the Company and all its subsidiaries. The
resignation was submitted August 18, 1999.

"The Board would like to thank Mark for his substantial contributions
to Ultra Petroleum," said Watford. "He played key roles in corporate
finance and strategic planning during the formative stages of this
company. As a director, he was instrumental in getting me involved
with Ultra."

"Ultra is in good hands," said Jarvis. "In the seven months since he
took over, he has cleaned up the balance sheet, rationalized the work
force and put the company in a solid and growing cash flow position.
My confidence in Mike frees me up to focus on fulfilling my duties at
a smaller company which is in its formative stages."

Ultra Petroleum Corp. (TSE: UP) is a natural gas exploration and
development company with U.S. Headquarters in Denver, Colorado. The
Company is exploring and developing the natural gas potential of its
extensive lease holdings in the Green River Basin of southwest
Wyoming.
