Terms of Lowrance, Magellan Corp. merger changed

TULSA, Okla., Aug 30 (Reuters) - Sonar equipment maker Lowrance Electronics Inc.(Nasdaq:LEIX -
news) said on Monday it had changed the terms of its merger agreement with Magellan Corp., a unit of
Orbital Sciences Corp. (NYSE:ORB - news) that makes satellite access products.

Under the new deal, Magellan will pay Lowrance shareholders $7.30 in cash for each share of Lowrance
stock, the company said in a statement. The original deal, announced in March, called for Lowrance
shareholders to be paid about $6.41 in Orbital Sciences stock per share of Lowrance stock.

The deal, which still must be approved by Lowrance shareholders, is expected to close in the last three months of the year.

Shares of Lowrance were trading down 3/16 at $6-3/16 on Monday afternoon on Nasdaq while shares of Orbital Sciences were up 2/16 at
$22-3/16 on the New York Stock Exchange.
