AT&T Wins $400 Million Contract From AlliedSignal

BASKING RIDGE, N.J. ? AT&T [NYSE:T] announced today it has signed a multi-year agreement valued at more than
$400 million with AlliedSignal Inc. [NYSE:ALD] for a total global networking solution that supports the company?s
corporate growth strategy.

The agreement calls for AT&T Solutions, AT&T?s professional services subsidiary, to provide advanced global networking
management and standardize communications technology capabilities across AlliedSignal?s infrastructure.

AT&T Solutions will centralize AlliedSignal?s communications technology and manage it globally across the company?s
business units. The agreement involves nearly 400 sites in 19 countries in North and South America, Europe and Asia.

AlliedSignal will receive a flexible, reliable and cost-effective networking infrastructure through an integrated portfolio of
AT&T?s business services, including wireless services nationwide for more than 3,000 wireless phones, local telephone
service at company locations in the United States, and voice and data services across the U.S. and Europe.

Standardizing communications technology supports AlliedSignal?s growth strategy by accelerating its e-business activities
and by enabling quick, easy assimilation of new businesses into the corporate structure. AT&T Solutions also will work
with AlliedSignal to develop and apply communications standards across the company?s business units, and achieve a
predictable cost structure.

?This agreement with AT&T enables us to establish a global, standardized communications platform that supports our
aggressive growth strategy,? said Larry Kittelberger, AlliedSignal senior vice president and chief information officer.
?We?re migrating to a centralized communications infrastructure-management model.?

Jim Pagos, AT&T Solutions? chief operating officer, said: ?AlliedSignal is clearly a company on the move. Its management
team has a clear vision of where the business is headed and how strategic partners fit into the equation. They?re looking to
us to manage their migration to a common, enterprise-wide communications architecture with standardized networking
applications, and to bundle a full portfolio of communications services ? including local and wireless ? that supports their
businesses around the world.?

Under the agreement, AT&T will manage AlliedSignal?s global data wide area network (WAN) and North American voice
and local area network (LAN) infrastructure ? including hundreds of routers, hubs and switches. AT&T Solutions also will
assume management of AlliedSignal?s existing frame relay and private-line routed networks, as well as teleconferencing
services.

AT&T Solutions will manage AlliedSignal?s networking capabilities from its Global Client Support Center in Dublin, Ohio,
via the AT&T Solutions Global Enterprise Management System (GEMS). GEMS produces seamless networking
capabilities ? including predictive management ? by integrating proprietary software developed at AT&T Labs with
best-in-class enterprise-management software.

Earlier this month AT&T Solutions announced that Bank One had awarded it a contract valued at $465 million to unify the
bank?s data and voice-networking infrastructure. That contract will run concurrently with a six-year, $1.4 billion agreement
between Bank One (www.bankone.com) and AT&T Solutions announced last year.
