Zeev: Today was just slam packed with coincidences. I spoke with the transfer agent at ~1pm wherein she told me about the increase in shares. Indeed, she even said that on 8/31 a group by the name of HSDC had taken possession of a number of shares of VLNC common. Can you guess the number of shares they took possession of? 689,655 to be precise. Once I heard this I immediately set off in hot pursuit, trying to determine who HSDC was/is as I suspected(at that point) they might be some sort of shell for such as C.C. to run their game. Call me paranoid that my thoughts would run to this, but given the way the stocks been....uh...."managed" of late...well, I consider it a justified stance. ;-)

Anyway, I had to laugh when the heads up was provided about today's filing. So much for C.C. conversion theories. Poof, gone. And what are the odds that I'd get this info. just a wee hour or so before it was common knowledge via the SEC filing? Like I said, what a coincidence! Today was just pack with stuff like that for me. Still, who is HSDC and how are they playing in the little unfolding drama? This is what I've found:

First, a description of them: htdc.org

Next, a brief description of their process: htdc.org

Here's their board of directors: htdc.org

And here are 4 of their venture funds: htdc.org Pssst, this one I plan on calling the fund managers. After all, maybe they'll tell me something about who they're involved with...like...VLNC? ;-)

Here's the general characteristics of the companies they invest in: htdc.org

Of course, there's no guarantee at this point this is the institutional investor. But unless my rock-n-roll ears betrayed me, the transfer agent did say HSDC. Unfortunately I don't have a "warm & fuzzy", without first speaking to those above mentioned fund managers, that a venture capitalist group home based in Hawaii is our institutional buyer. There could be another group out there with the same, or similar, acronym. Or the transfer agent could have read it wrong. Still, it's intriguing as they would lend themselves nicely as a gateway to the Orient.

Also, it kind'a lends itself to one aspect of your "leaky" convertible idea, as one of the codicles of the organization appears to be they put no more than $3 Million into any one venture. This supports your hypothesis that past tranches have been purchased by others.

Hope this helps!

John~

Zeev, the chart supports your "leaky floorless" theory. The first of these 3 financings was done on June 29 (one month before the opening of the variable conversion window). Coincidentally, June 29 marked the exact beginning of the long slide in the share price.
