France, Italy to lose control of STMicroelectronics

STMicroelectronics is ready to make a public offering of 28.6 million
shares, the sale of which would remove control of the company from
the French and Italian governments.

Only 2.6 million new shares are being created; the remaining 26
million shares are being put up for sale by ST Holding, which is jointly
owned by French and Italian holding companies, which are in turn
owned by state-owned institutions.

At present about 44% of STM shares are owned by the public and
traded on the New York Stock Exchange, the Paris Bourse and the
Italian stock exchange in Milan. If all the shares in the forthcoming
offer are purchased, the French and Italian governments' ownership
of STM will be reduced to about 42%.

The share offer comes three months after STM announced a poison
pill defense that could be invoked to thwart any hostile takeover bid
for the company.

SkyPerfectTV adds 73K Japan subscribers in August
TOKYO, Sept 3 (Reuters) - SkyPerfecTV continued to lead the way in Japan's satellite television market in August, adding 72,993 new subscribers to bring its total to 1.3 million, its operator Japan Digital Broadcasting Services said today.

Its main rival, DirecTV, also announced subscriber numbers today, saying it had a total of 306,000 as of the end of August, up 6,700 from a month ago.

DirecTV, which started up in December 1997 -- more than a year after SkyPerfecTV -- has lagged behind its rival in the race to build up subscribers in Japan.

Japan Digital Broadcasting Services is owned by companies including Sony Corp <6758.T>, News Corp , Fuji Television Network Inc <4676.T>, Itochu <8001.T> and Softbank Corp <9984.T>.

Major shareholders of DirecTV Japan include Hughes Electronics Corp with 42.18 percent, Matsushita Electric Industrial Co Ltd <6752.T>, which owns 11.67 percent and Mitsubishi Electric Corp <6503.T> with 4.52 percent.

Hughes earlier this year took management control of the company by raising its stake.
