LOUIS, MO -- Charter Communications, Inc. today announced that is has filed a registration statement with the Securities and Exchange Commission for an initial public offering of shares of Class A common stock. All of the shares are being offered by Charter. The registration statement relates to a total of $3.45 billion of Class A common stock. The number of shares to be offered has not yet been determined.Charter anticipates offering these shares late in the third quarter of 1999. Goldman, Sachs & Co. is Global Coordinator and sole Book Running Manager, with Bear, Stearns & Co. and Morgan Stanley Dean Witter & Co. as Joint Lead Managers. The Co-Managers for the offering are Donaldson, Lufkin & Jenrette, Merrill Lynch & Co., Salomon Smith Barney, A.G. Edwards & Sons, Inc. and M.R. Beal & Co.
