In my opinion, the seller knew about them turning down the buyout offers and assumed this would have a negative effect on the stock price.

After all, there was a lot of accumulation at the 10 range on this stock. You can't blame any of those buyers for not wanting to take that chance.

Very good point. Did you see my post on the "set-up" -- the market and spins put on things -- a good point in that if mentions that a seller is almost done selling certainly gives, imo, the average person the psyche of "it's headed higher", but present the reason for selling.

Rem Merck Germany was to buy stock as one of the milestone "payments" -- maybe they have bot all their stock - but if I were Merck GmbH, I would want to buy at much lower prices than the 30's
