When I look at a stock with the intention of possibly buying into the company one of the first things I look at after rate of earnings growth, p.e. and other basics such as that are private placements. If a company has done any sort of bottomless they are immediately out of the running for any of my dollars.

Some private placements aren't bad but if it isn't perfectly clear what the terms are I will pass.

Have you looked at the terms that relate to TSIG's series A preferred? I know those aren't the terms for the placement they are doing now but that is about the most complicated set of conversion terms I have ever seen.
